A power of attorney, or PoA, lets one person act for another in property matters. It is common, useful and often misunderstood. Many buyers think a "GPA sale" gives them ownership of a flat or plot. It does not. This guide explains what a PoA can and cannot do, the types, the cost, and the traps to avoid.

What a power of attorney is

A PoA is a legal document. The person who gives the power is the principal, or donor. The person who receives it is the agent, or attorney. Once signed, the agent can do the acts listed in the document as if the principal did them. It is used when the owner cannot be present, for example an NRI who lives abroad, or an elderly owner who cannot travel.

Types of power of attorney

  • General power of attorney (GPA). Wide powers to manage many matters: rent out, collect payments, sign documents, appear before authorities.
  • Special power of attorney (SPA). Power for one specific task, such as registering one particular sale deed or handling one court case.
  • Durable vs limited. Some PoAs continue even if the principal falls ill. Others end on a fixed date or task.

For most property jobs, an SPA is safer than a GPA because it limits the agent to one clear task.

The big warning: GPA is not a sale

For years, people sold property through a GPA to save on stamp duty and registration. The Supreme Court, in the Suraj Lamp judgment, made the position clear. A sale of immovable property must be done through a registered sale deed. A GPA, a will and an agreement to sell, even together, do not transfer ownership. If you buy on a GPA, you do not become the legal owner, and you may face disputes later.

Registration and stamp duty

A PoA that allows the sale or transfer of immovable property must be registered at the sub-registrar office. It also attracts stamp duty, which varies by state and by whether the agent is a family member. A PoA for routine acts, like collecting rent, may not always need registration, but registering it adds safety and proof. Get the document drafted by a lawyer so the powers are worded correctly.

How to make a valid PoA

  1. Decide the powers you want to give. Keep them as narrow as the task allows.
  2. Get the deed drafted by a lawyer on the correct stamp value.
  3. Both principal and agent details, with photos and ID, go into the document.
  4. Sign before the sub-registrar for registration, with two witnesses.
  5. For an NRI, the PoA can be signed abroad and attested at the Indian embassy or consulate, then adjudicated and stamped in India within the required time.

How to revoke a PoA

A principal can cancel a PoA at any time, unless it is a PoA coupled with interest. To revoke, sign a deed of revocation, register it if the original was registered, and inform the agent and any authority that relied on it. Risks and how to protect yourself

  • Misuse by the agent. A wide GPA can be abused. Give narrow powers and set a time limit.

  • Buying on GPA. As above, this does not give you title. Always demand a registered sale deed.
  • Unclear wording. If the powers are vague, banks and registrars may reject the document. Use a lawyer.
